Due Diligence Complete – Process Continues Moving Forward
Dianella Community Health and Plenty Valley Community Health Boards are agreed that merger talks should continue as the process moves forward to the next stage.
This decision has been reached following a significant period of due diligence, which involved a detailed analysis of the legal and financial status of each organisation by external legal and accounting firms. It represents an exciting period of growth for both organisations. More importantly, it represents a proactive move to ensure that community health in northern metropolitan Melbourne continues to service the rapidly growing health and community needs of the region.
The next stage involves the drafting of constitutional changes and endorsement of the merger by our members, as well as the drafting of the Deed. The Deed, a formal and legally binding agreement between Dianella Community Health and Plenty Valley Community Health, will only be signed following member endorsement.
Support for the merger continues to be received from staff, clients and key external stakeholders, such as DHHS Northern Region and Central Office, Northern Health, the Minister for Health and local MPs.
“The Due Diligence process has reinforced the value to be gained by merging, both for the community and each organisation”, says Neil Cowen, CEO of Dianella Community Health.
“Discussions are progressing very nicely and there is nothing but consensus and good will so far”, says Phillip Bain, CEO of Plenty Valley Community Health.
